Terms of Service

What we promise, what you are responsible for, and what happens to your printed cards if you stop paying.

Last updated

These terms are a contract between you and Thrilla Digital Ltd, a company registered in Scotland under number SC878333, whose registered office is at 150 Meiklehill Road, Kirkintilloch, Glasgow, G66 2JR, trading as Monact (“we”, “us”). They apply when you create an account or use the service. If you do not accept them, do not create an account.

Contact: contact@monact.co.

1. What the service is

Monact lets you create QR campaigns, generate print-ready card artwork, resolve scanned codes, and collect and display responses. We provide software. We do not print, ship, or handle your stock, and we are not a party to anything you sell.

2. Who may use it

You must be at least 18 and able to enter a contract. If you use Monact for a company, you confirm you are authorised to bind it, and “you” means that company.

Most of our customers are businesses. Where you contract as an individual outside your trade, business or profession, you are a consumer and sections 8 and 11 give you rights that cannot be reduced by anything else here.

3. Your account

Keep your login credentials secure and tell us promptly at contact@monact.co if you believe someone else has access. You are responsible for activity under your account, except to the extent it results from our failure.

4. What you are responsible for

  • The wording on your card and in your questions. You write it. The product cannot filter reviews by sentiment, but it cannot stop you typing something that breaks a marketplace’s rules.
  • Compliance with the platforms you sell on. Amazon, Etsy, eBay, Google and Trustpilot each set their own policies and change them without telling us. Check them before committing to a print run.
  • Being the controller of the responses you collect. You decide what to ask and why. Our role and yours are set out in the Data Processing Agreement, which forms part of these terms.
  • The accuracy of figures you give us, including units printed, which we display as your figure because we cannot observe it.

5. Acceptable use

You must not use Monact to:

  • Offer any reward, discount or inducement in exchange for a review.
  • Filter, gate or suppress reviews based on what a customer thinks — including by routing dissatisfied customers away from a review destination.
  • Collect personal data from buyers beyond the answers to your own questions.
  • Impersonate another business, or point a code at content you do not control or are not permitted to promote.
  • Break any law, or any third-party platform’s terms.

The first two are not technically possible through the product. Attempting them indicates a workaround we would want to close, and we may suspend an account that does. Where a breach is capable of remedy and does not require immediate action, we will give you notice and a reasonable opportunity to fix it first.

6. Your content, and our licence to it

You keep ownership of everything you put into Monact — your questions, wording, logo and the responses you collect. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, format and display that content only so far as is necessary to operate the service for you, and to keep backups. That licence ends when the content is deleted, except for backups already taken, which age out on their normal cycle.

We do not sell your data, and we do not use it to train machine-learning models.

7. Fees, billing and VAT

  • Free plan. Free, and not a trial. We may change what it includes on 30 days’ notice.
  • Paid plans are billed monthly in advance through Stripe. Prices are shown on the pricing page in pounds sterling.
  • VAT. Prices are shown excluding VAT unless stated otherwise. Where we are required to charge VAT or other sales tax, it is added at checkout at the rate applicable to your location. If you supply a valid business VAT number for a country where the reverse charge applies, VAT is not charged and you account for it yourself.
  • Price changes. We will give you at least 30 days’ notice by email before a price rise takes effect on your plan. You may cancel before it applies.
  • Failed payments. If a payment fails we will retry and email you. If it remains unpaid we may downgrade the account to the free plan. Printed codes keep working — see section 10.

8. Cancellation and refunds

Everyone

You can cancel at any time from your billing settings. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

If you are a consumer — your 14-day right to cancel

If you are a consumer, you have the right to cancel this contract within 14 days without giving any reason. The cancellation period expires 14 days after the day the contract is concluded. This right comes from the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 in the UK, and from Directive 2011/83/EU in the EU.

To cancel, tell us clearly — an email to contact@monact.co is enough. You may use the model cancellation form below but you do not have to. To meet the deadline it is enough that you send your message before the 14 days expire.

Effect of cancelling. We will reimburse all payments received from you, without undue delay and no later than 14 days after the day we are informed. We will refund using the same means of payment you used, and you will not be charged a fee for the refund.

If you asked us to start during the 14 days. You may ask us to begin supplying the service before the period ends. If you then cancel, you must pay an amount in proportion to what was supplied up to the point you told us, compared with the full cover of the contract. We do not treat a paid plan as fully performed merely because you downloaded a card.

Model cancellation form
To Thrilla Digital Ltd, contact@monact.co — I hereby give notice that I cancel my contract for the supply of the following service: [Monact subscription]. Ordered on: [date]. Name: [ ]. Address: [ ]. Date: [ ].

Outside the 14 days

We do not refund part-months. This does not affect your statutory rights, including the right to a remedy if the service is not as described, not supplied with reasonable care and skill, or not fit for a purpose you made known to us — rights given by the Consumer Rights Act 2015 which we cannot exclude.

9. Availability and support

We do not offer a contractual uptime guarantee on the dashboard. The redirect service — the part that answers a scanned code — is deployed separately from everything else so that a failure in billing, the dashboard or the database does not stop a printed card working.

Support is by email at contact@monact.co. We aim to reply within one business day and do not guarantee it.

10. What happens when the contract ends

Your printed cards keep working. Every code continues to resolve and continues to show your buyer a page. What stops is the collection of new responses. We consider this a promise rather than a feature: cards are printed weeks before they ship and somebody holding one has done nothing wrong.

Exceeding a plan limit never affects a buyer either. Every scan is still redirected and every response still collected; you are prompted in the dashboard, and that is the whole enforcement mechanism.

You can export your responses at any time while your account is active. After closure we retain data as described in the Privacy Policy and then delete it.

11. Liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, any liability that cannot lawfully be limited, or — where you are a consumer — your statutory rights.

Where you are a business, we are not liable for loss of profit, loss of sales or revenue, loss of anticipated savings, loss of goodwill, or for any indirect or consequential loss. We are not liable for action taken against you by a marketplace, including suspension of a selling account.

Subject to the paragraph above, our total liability arising out of or in connection with these terms is limited to the greater of £100 or the total amount you paid us in the 12 months before the event giving rise to the claim.

Where you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or failing to use reasonable care and skill, but not for loss that is not foreseeable.

12. Changes to these terms

We may change these terms. For a material change we will email account holders at least 30 days before it takes effect. If you do not accept it you may cancel before it applies, and we will refund any unused part of a period you have paid for. Minor changes that do not reduce your rights — corrections, clarifications, a new contact address — take effect when published.

13. Suspension and termination by us

We may suspend or close an account that breaches section 5, that we are required to act on by law, or where payment remains unpaid after notice. Except where the law or an immediate risk requires otherwise, we will tell you why and give you a chance to put it right. If we close an account without a breach by you, we will refund the unused part of any period you have paid for.

14. Governing law and disputes

These terms are governed by the law of Scotland, and the Scottish courts have jurisdiction. If you are a consumer, this does not deprive you of the protection of the mandatory law of your country of residence, and you may bring proceedings in your local courts. The consumer rights referred to above — the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015 — apply across the United Kingdom. EU consumers can also use the European Commission’s Online Dispute Resolution platform.

15. General

If a clause is found unenforceable, the rest continues. Our not enforcing something immediately does not waive it. You may not transfer your rights without our consent; we may transfer ours to a company that takes over this business, and will tell you if we do. These terms, the Privacy Policy and the Data Processing Agreement are the whole agreement between us.
